1. Introduction

These Terms and Conditions ("Terms") govern access to and use of the Secygo platform, including all websites, mobile applications, software, APIs, transportation services, delivery services, logistics services, courier services, dispatch services, payment services, customer support services, and related offerings made available by Secy Worldwide Limited (Nigeria) Limited, trading as Secygo ("Secygo", "Company", "we", "our", or "us"). These Terms constitute a legally binding agreement between Secygo and:

• Riders;
• Passengers;
• Drivers;
• Fleet Operators;
• Vehicle Owners;
• Delivery Users;
• Merchants;
• Business Customers;
• Corporate Customers;
• Visitors;
• Any person using the Platform.

By creating an account, accessing, downloading, or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Platform.

3. Definitions

"Platform" means the Secygo website, mobile applications, software systems, APIs, and related technologies. "Driver" means a driver, rider, operator, courier, or transportation provider registered on the Platform. "Fleet Operator" means a person or company managing one or more Drivers or vehicles. "Merchant" means a business offering goods or services through the Platform. "User" means any person using the Platform. "Ride" means transportation services facilitated through the Platform. "Delivery" means logistics, courier, dispatch, or delivery services facilitated through the Platform.

4. Nature of the Platform

Secygo is a technology company that provides a digital marketplace connecting Users with independent transportation and delivery providers. Except where expressly stated otherwise:

• Secygo does not own all vehicles operating on the Platform;
• Secygo is not a transportation carrier;
• Secygo is not a logistics carrier;
• Secygo is not an employer of independent Drivers.

Transportation and delivery services are provided by independent third parties. Secygo's role is limited to facilitating connections between Users and service providers.

5. Eligibility

To use the Platform, you must:

• Be at least 18 years old;
• Possess legal capacity to contract;
• Provide accurate information;
• Maintain a valid account.

Secygo reserves the right to request identity verification at any time.

6. Account Registration

Users must:

• Provide truthful information;
• Maintain accurate records;
• Keep login credentials confidential;
• Notify Secygo of unauthorized use.

Users are responsible for all activities conducted through their accounts.

Fleet Operators shall:

• Ensure compliance of Drivers;
• Maintain accurate records;
• Ensure vehicle safety;
• Maintain insurance coverage.

Fleet Operators remain responsible for Drivers operating under their fleet accounts.

10. Merchant Obligations

Merchants shall:

• Provide accurate descriptions;
• Comply with applicable laws;
• Maintain product quality;
• Honour lawful orders.

Merchants are solely responsible for goods supplied through the Platform.

11. Bookings and Service Requests

A service request submitted through the Platform constitutes a request only. Secygo does not guarantee:

• Driver availability;
• Delivery availability;
• Specific wait times;
• Acceptance of requests.

A booking becomes effective only upon acceptance by a Driver or service provider.

12. Fares and Charges

Fares may be determined using factors including:

• Distance;
• Time;
• Demand;
• Location;
• Traffic conditions;
• Tolls;
• Service category;
• Regulatory fees.

Estimated fares displayed before booking are not guaranteed final fares. Actual fares may vary.

13. Surge Pricing

During periods of increased demand, fares may increase. Users acknowledge that:

• Dynamic pricing may apply;
• Prices may fluctuate significantly;
• Acceptance of a booking constitutes acceptance of applicable pricing.

14. Cancellation Fees

Users may cancel service requests. Cancellation charges may apply where:

• A Driver has already accepted the request;
• Excessive waiting time occurs;
• The Driver has substantially commenced travel toward pickup.

Cancellation fees are non-refundable except where required by law.

Refunds may be granted at Secygo's discretion where:

• Technical errors occur;
• Duplicate charges occur;
• Fraudulent transactions occur;
• Service quality investigations support a refund.

Refund requests must be submitted within thirty (30) days.

17. Promotions and Credits

Promotional credits:

• Have no cash value;
• May expire;
• May be revoked for abuse;
• Are subject to additional terms.

Secygo reserves the right to modify promotions without notice.

18. User Content

Users may submit:

• Reviews;
• Ratings;
• Feedback;
• Images;
• Comments.

Users grant Secygo a worldwide, royalty-free, irrevocable licence to use submitted content. Users represent that they possess all necessary rights to such content.

19. Prohibited Activities

Users shall not:

• Use the Platform unlawfully;
• Impersonate others;
• Commit fraud;
• Harass individuals;
• Upload malware;
• Reverse engineer software;
• Interfere with Platform operations;
• Violate intellectual property rights.

Violation may result in immediate suspension.

20. Safety

Secygo may implement:

• Identity verification;
• Emergency features;
• Ride monitoring;
• Incident investigations;
• Driver screening measures.

Such measures do not guarantee absolute safety. Users remain responsible for exercising reasonable judgment.

21. Independent Contractor Relationship

Drivers, Fleet Operators, Couriers, and Merchants are independent contractors. Nothing in these Terms creates:

• Employment;
• Partnership;
• Joint venture;
• Agency relationship.

Drivers determine whether to accept requests, when to work, and how long to remain active. Drivers are not employees of Secygo.

22. Intellectual Property

All rights relating to the Platform, including:

• Software;
• Trademarks;
• Logos;
• Databases;
• Designs;
• Documentation;

Remain the exclusive property of Secygo or its licensors. No ownership rights are transferred to Users.

23. Privacy

Personal data is processed in accordance with the Secygo Privacy Policy. Users consent to collection, processing, storage, and disclosure of personal data as described therein.

24. Third-Party Services

The Platform may integrate third-party services. Secygo is not responsible for:

• Third-party websites;
• Third-party software;
• Third-party payment processors;
• Third-party content.

Use of third-party services is at the User's own risk.

25. Suspension and Termination

Secygo may suspend or terminate accounts for:

• Fraud;
• Criminal conduct;
• Regulatory violations;
• Safety concerns;
• Breach of these Terms.

Termination may occur with or without notice where legally permissible.

26. Disclaimers

The Platform is provided on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by law, Secygo disclaims:

• Implied warranties;
• Fitness for purpose;
• Merchantability;
• Non-infringement.

Secygo does not guarantee uninterrupted service.

27. Limitation of Liability

To the maximum extent permitted by law, Secygo shall not be liable for:

• Indirect damages;
• Consequential damages;
• Special damages;
• Lost profits;
• Business interruption;
• Loss of opportunity.

Secygo's aggregate liability shall not exceed the total amount paid by the User to Secygo during the six (6) months preceding the claim. Nothing in these Terms excludes liability where exclusion is prohibited by law.

28. Indemnity

Users agree to indemnify and hold harmless Secygo, its officers, directors, employees, affiliates, agents, and partners from claims arising from:

• Breach of these Terms;
• Violation of law;
• User misconduct;
• Negligence;
• Fraud.

29. Force Majeure

Secygo shall not be liable for delays or failures caused by:

• Natural disasters;
• Epidemics;
• Government actions;
• Strikes;
• Civil unrest;
• Telecommunications failures;
• Cyber attacks;
• Events beyond reasonable control.

30. Compliance with Nigerian Law

Users shall comply with:

• Constitution of the Federal Republic of Nigeria;
• Nigeria Data Protection Act 2023;
• Federal Competition and Consumer Protection Act 2018;
• Cybercrimes Act 2015;
• Road Traffic Laws;
• Relevant transportation regulations;
• Anti-money laundering laws;
• Any applicable legislation.

31. Dispute Resolution

Parties shall first attempt amicable negotiation. Where unresolved, parties may participate in mediation. Any dispute arising out of or relating to these Terms shall thereafter be referred to arbitration under the Arbitration and Mediation Act 2023.

• Seat of arbitration: Lagos, Nigeria.
• Proceedings shall be conducted in English.

The arbitral award shall be final and binding. Nothing prevents Secygo from seeking urgent injunctive relief from a competent court.

32. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

33. Electronic Communications

Users consent to receive communications electronically, including:

• Emails;
• SMS;
• Push notifications;
• In-app communications.

Electronic communications satisfy legal requirements for written communications.

34. Severability

If any provision is declared invalid or unenforceable, the remaining provisions shall continue in full force and effect.

35. Entire Agreement

These Terms, together with the Privacy Policy and related policies, constitute the entire agreement between Secygo and Users.

36. Amendments

Secygo may amend these Terms at any time. Updated Terms shall be published on the Platform. Continued use following publication constitutes acceptance of the revised Terms.
